The Board of Directors of the Company wishes to announce that on 15 December 2025, Gurun Heavy Industrial Park Sdn. Bhd. (“GHIP”), an indirect subsidiary of Ann Joo Resources Berhad (“Ann Joo” or the “Company”), entered into a Joint Venture Agreement (“JVA”) with Transyear Sdn. Bhd. (“Transyear”) to develop and market a freehold land under category of industrial held under title no. Hakmilik Geran 67225, Lot 8072, Bandar Gurun, Daerah Kuala Muda, Negeri Kedah, measuring approximately 96.87 acres (the “Development Land”). GHIP is the registered owner of Development Land.

Pursuant to the JVA, the Board of Directors of Ann Joo (together with its subsidiaries, the “Group”) wishes to announce that the joint venture partners, GHIP and Transyear, have on 10 March 2026 entered into a Sale and Purchase Agreement (“SPA”) with LB Advanced Material Asia Sdn. Bhd. (“LB”), for the disposal of 60.1 acres of land, known as Plot 7, located in Gurun Heavy Industrial Park, Kedah for a cash consideration of RM117,808,020 (“Consideration”) (“Disposal”).
