(Reference is made to the first announcement made on 31 October 2023 and the latest announcement dated 26 March 2026. Unless otherwise defined herein, all terms and definitions used herein shall be the same as those defined in the previous announcements.)

The Board of Directors of the Company ("Board") wishes to update that, Maybank Investment Bank Berhad ("Maybank IB") had, on behalf of  the Board, made the requisite announcement pursuant to Paragraph 4.2 of Practice Note 17 of Main Market Listing Requirements of Bursa Securities on 26 March 2026, whereby the Company proposes to undertake a regularisation plan which shall comprise the following:-

  a) Proposed Capital Reduction;

  b) Proposed Share Exchange;

  c) Proposed ICPS Exchange;

  d) Proposed Transfer of Listing Status;

  e) Proposed Reorganisation; and

  f)  Proposed Private Placement.

(collectively to be referred to as "Proposed Regularisation Plan")

Further to the above, the Board wishes to announce that Maybank IB had, on behalf of the Board, submitted the application in relation to the Proposed Regularisation Plan to Bursa Securities on 1 April 2026.

The Company will make the necessary announcement in regard to any latest development on the above matter in due course.
