(In this Announcement, unless stated otherwise, words and expressions used shall have the same meaning given in the Company's announcement dated 13 February 2026 in relation to the proposed acquisition of three (3) parcels of lands.)

The Board of Directors of GDB wishes to announce that GDB Development Sdn. Bhd., a wholly-owned subsidiary of the Company, had on 2 April 2026 entered into a Supplementary Agreement with Sport Pavillion Sdn. Bhd. [Registration No. 200401030500 (669008-D)] to amend the clause of the Conditions Precedent in the sale and purchase agreement dated 13 February 2026.

Pursuant to the Supplementary Agreement, the timeframe for the Purchaser to obtain the written consent from the Director of Lands and Surveys for the transfer of Lot 19102 and for the extension of time for the development of Lot 19102 has been revised from nine (9) months to two (2) months from the date of the SPA, or such further period as the parties may mutually agree in writing.

Save for the above, all other terms and conditions in the sale and purchase agreement shall remain unchanged and are in full force and effect.
