Adventa Berhad ("Adventa" or "the Company") - Variation between the Estimated and Actual Aggregated Value of Recurrent Related Party Transactions of a Revenue or Trading Nature
The Company had at its Twenty-Second Annual General Meeting held on 23 June 2025 obtained the mandate from its shareholders for the Company and its subsidiaries ("Adventa Group") to enter into Recurrent Related Party Transactions of a Revenue or Trading Nature ("RRPT") which are necessary for Adventa Group's day-to-day operations.
The RRPT was disclosed in the Company's Circular to Shareholders dated 30 April 2025 in relation to the Proposed Renewal of Existing Shareholders' Mandate for RRPT and Proposed New Shareholders' Mandate for New RRPT ("Circular").
Pursuant to Paragraph 10.09(2)(e) of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of the Company wishes to announce that the following RRPT has exceeded the estimated aggregated value of RRPT disclosed in the Circular by more than 10%:-

The RRPT exceeded 10% primarily due to higher transaction volumes conducted on a trade basis in response to strong market demand, coupled with more competitive pricing offered by related parties compared to external suppliers. These transactions support operational efficiency through reliable supply and consistent quality, and are carried out on arm's length terms in line with normal business practices.
