We refer to the announcement dated 15 January 2026 and 13 March 2026 in relation to the Proposed Acquisition. Unless otherwise defined, the definitions set out in the previous announcements shall apply herein.

On behalf of the Board, UOBKH wishes to announce that Bursa Securities has, vide its letter dated 17 April 2026, resolved to approve the listing and quotation of 33,265,247 Consideration Shares to be issued pursuant to the Proposed Acquisition.

The approval granted by Bursa Securities for the Proposed Acquisition is subject to the following conditions:-

1. SkyGate and UOBKH must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposed Acquisition;

    

2. UOBKH to furnish a certified true copy of the resolution passed by the shareholders approving the Proposed Acquisition;

    

3. UOBKH to inform Bursa Securities upon the completion of the Proposed Acquisition and to furnish a written confirmation of the compliance with the terms and conditions of Bursa Securities' approval once the Proposed Acquisition is completed; and

    

4. To incorporate the comments made in the circular to shareholders provided in Attachment 1, which shall be reflected, where applicable, in in the said circular to be issued in due course.
