The Board of Directors of Ho Hup (the "Respondent") wishes to announce that the Company, had on 27 April 2026 received an Originating Summons (Ex Parte) filed by Omesti Holdings Berhad (the "Applicant") and the High Court of Malaya has granted a Restraining Order dated 23 April 2026 pursuant to Sections 368 of the Companies Act 2016 ("Restraining Order").
The Restraining Order immediately puts into effect a moratorium for a period of two (2) months from the date of the Restraining Order whereby all actions or proceedings and/or further actions or proceedings against the Respondent and/or its assets including but not limited to the winding up of the Company, appointment of receiver or receiver and manager over any undertaking or property of the Company, any proceedings that may be commenced or continued against the Company, any execution, distress or other legal process against any property of the Company and any steps may be taken to enforce any security over any property of the Company will be restrained and/or stayed, and the High Court may on the application of the Applicant and/or the Respondent, extend the period for not more than tenth (10) months subject to such terms as the Honourable Court may impose.
Omesti Holdings Berhad is a shareholder of the Company holding 53,879,300 shares representing 10.396% of the total issued shares of the Company.
Omesti Holdings Berhad is a wholly owned subsidiary of Omesti Berhad, a public limited company listed on the Main Board of Bursa Malaysia.
The Restraining Order is not envisaged to have any material financial and operational impact to the Company.
The Company will seek the advice from its solicitors on the matter.
The Company will make further announcement as and when there are material developments on the above matter.
