Reference is made to the announcement that was released on even date on the receipt of the section 137 notification on 30 April 2026 from Mitrajaya Trading Sdn Bhd ("MTSB") that it has become a new substantial shareholder of the Company following the acquisition of 281,648,463 ordinary shares of the Company representing 38.67% from Mr Tan Eng Piow, the Executive Chairman and major shareholder of the Company on 29 April 2026.

MTSB is a private limited company incorporated in Malaysia on 26 June 1990 and is 100% owned by Mr Tan Eng Piow. The issued share capital of MTSB is RM50,100 comprising 50,100 MTSB Shares in issue. The directors of MTSB are Mr Tan Eng Piow and his daughter, Ms Tan Mei Yin. MTSB is principally involved in the trading of construction materials and rent of premises.

MTSB has notified the Company that it has obtained an exemption from the Securities Commission for it and its persons acting in concert namely, Tan Mei Yin, Tan Mei Wan, Tan Gek Kuan, Ong Kat, Chin Fui Shuh, Tan Choo Yean and Tan Geok Keng from having to undertake a mandatory take-over offer in MHB upon the transfer of the 281,648,463 ordinary shares of the Company from Mr Tan Eng Piow to MTSB.
