We refer to the announcement dated 28 April 2026 in relation to the Proposals ("Announcement"). Unless otherwise defined, the definitions set out in the Announcement shall apply herein.
On 16 January 2026, Bursa Securities had granted an extension of time until 30 June 2026 for the Company to submit a Regularisation Proposal to the SC for approval ("Extended Timeframe") ("EOT Approval").
Pursuant to the EOT Approval, Bursa Securities has further decided to suspend and de-list the securities of the Company from the Official List of Bursa Securities pursuant to Paragraph 8.03(2) of the Listing Requirements in the event:
(i) the Company fails to submit the Regularisation Proposal to the relevant authorities for approval within the Extended Timeframe;
(ii) the Company fails to obtain the approval for the implementation of its Regularisation Proposal and does not appeal within the timeframe (or extended timeframe, as the case may be) prescribed to lodge an appeal;
(iii) the Company does not succeed in its appeal; or
(iv) the Company fails to implement its Regularisation Proposal within the timeframe or extended timeframes stipulated by the relevant authorities.
It was further stated in the EOT Approval that upon occurrence of any of the events set out in items (i) to (iv) above, the trading of the securities of PEB shall be suspended on the 6th market day from the date of notification of suspension by Bursa Securities or such other date as may be specified by Bursa Securities ("Suspension").
On 28 April 2026, the Board had decided not to proceed with the Proposed Regularisation Plan. On the same date, TA Securities had, on behalf of the Board, announced that the Company proposes to undertake the Proposals. Barring any unforeseen circumstances, the Proposals are expected to be completed in end-September 2026.
In view of the above and on behalf of the Board, TA Securities wishes to announce that an application has, on 30 April 2026, been submitted to Bursa Securities to seek its approval for the following:
(i) a deferment of the Suspension until the ex-date for the entitlement under the Proposed Distribution; and
(ii) an extension of time from 30 June 2026 to 30 November 2026 for PEB to undertake and complete the Proposals.
