We refer to the Company's announcements dated 8 September 2025, 9 September 2025, 29 September 2025, 10 October 2025, 27 October 2025, 15 December 2025, 16 January 2026, 23 January 2026 and 5 February 2026 in relation to the Special Issue ("Announcements"). Unless otherwise defined, all defined terms and abbreviations used in this announcement shall carry the same meaning as those defined in the Announcements.

On behalf of the Board, Mercury Securities wishes to announce that the SC had vide its letter dated 25 May 2026 (which was received on 26 May 2026) informed that Ramssol is deemed to have complied with the Bumiputera Equity Condition after taking note of the following:-

1. MITI, had vide its letter dated 19 August 2025, confirmed its recognition of the existing approved Bumiputera shareholdings of 14,446,200 ordinary shares in Ramssol held by Urusharta Jamaah Sdn Bhd;

    

2. as stated in Ramssol's Circular to shareholders dated 10 October 2025, the total number of Shares to be issued was 55,171,800 new ordinary shares in Ramssol;

    

3. on 23 January 2026, the Board had fixed the issue price of the Special Issue Shares at RM1.01 each, representing a discount of approximately 2.3% to the 5-day VWAP of Ramssol Shares up to 22 January 2026, being the last full trading day immediately prior to the price-fixing date, of approximately RM1.0338;

                                                                                                             

4. on 26 January 2026, MITI had, vide its letter, informed that it had allocated 9,115,700 out of 55,171,800 Special Issue Shares to the Bumiputera investors approved by MITI. In the same letter, MITI also informed that they exhausted all efforts in assisting Ramssol to fulfil the Bumiputera Equity Requirement;

    

5. subsequently, on 26 January 2026, MITI had also approved, via email, an additional allocation of 14,410,000 out of 55,171,800 Special Issue Shares to the Bumiputera investors which were identified by Ramssol;

    

6. on 30 January 2026, a total of RM8,837,197.00 subscription proceeds were received from 44 Bumiputera investors approved by MITI for the subscription of 8,749,700 Special Issue Shares. This represents an acceptance of 15.9% of the total 55,171,800 Special Issue Shares; and

    

7. on 4 February 2026, a total of 8,749,700 Special Issue Shares were allotted to 44 Bumiputera investors approved by MITI, and a total of 8,749,700 Special Issue Shares issued were successfully listed on the ACE Market of Bursa Securities on 6 February 2026.

Based on the above, Ramssol is deemed to have complied with the Bumiputera Equity Condition and the Special Issue is deemed completed.
