S P Setia wishes to announce that Setia Osaka Tokutei Mokuteki Kaisha ("SOTMK"), an indirect wholly-owned subsidiary of S P Setia, had on 10 June 2026 held its Extraordinary General Meeting, at which the members resolved to dissolve SOTMK ("Dissolution").

In connection with the above, Ryutaro Uchiyama has been appointed as the liquidator for the purpose of the Dissolution.

The Dissolution of SOTMK is part of S P Setia's efforts to streamline operations and optimise cost efficiencies. The Dissolution will not have a material impact on the earnings and net assets of S P Setia Group for the financial year ending 31 December 2026.   

None of the Directors or major shareholders of S P Setia, or persons connected with them, has any interest, direct or indirect, in the Dissolution and no approval of shareholders of S P Setia is required.
