On behalf of the Board of Directors of GD, UOB Kay Hian (M) Sdn Bhd (formerly known as UOB Kay Hian Securities (M) Sdn Bhd) wishes to announce that ICE Holidays Sdn Bhd had, on 11 June 2026, entered into the following agreements with Liberty General Insurance Berhad:-
conditional sale and purchase agreement for the acquisition of 2 commercial parcels and 9 office parcels within Menara Liberty, under the strata titles known as Pajakan Negeri 25680/M1/1/1; Pajakan Negeri 25680/M1/3/2; Pajakan Negeri 25680/M1/7/3; Pajakan Negeri 25680/M1/8/4; Pajakan Negeri 25680/M1/9/5; Pajakan Negeri 25680/M1/10/6; Pajakan Negeri 25680/M1/11/7; Pajakan Negeri 25680/M1/12/8; Pajakan Negeri 25680/M1/13/9; Pajakan Negeri 25680/M1/14/10; and Pajakan Negeri 25680/M1/15/11; together with the accessory parcels appurtenant thereto, all held under Lot 1725, Seksyen 46, Bandar and Daerah Kuala Lumpur, Wilayah Persekutuan Kuala Lumpur, of 99 years expiring on 6 February 2078 with a total parcel area of 11,794.00 square metres ("sqm") for a total cash consideration of RM42,751,000.00; and
- conditional sale and purchase agreement for the acquisition of an annexed 2-storey commercial building known as "Menara Liberty Annex", erected on a parcel of leasehold land held under Pajakan Negeri 29117, Lot 1770 Seksyen 46, Bandar and Daerah of Kuala Lumpur, Wilayah Persekutuan Kuala Lumpur, of 82 years expiring on 15 August 2083 with a total floor area of 331.77 sqm for a cash consideration of RM2,249,000.00.
The Proposals form part of the intended utilisation of proceeds disclosed in GD's prospectus dated 26 March 2026, whereby RM50.00 million of the proceeds raised from its initial public offering ("IPO Proceeds") had been earmarked for the acquisition and renovation of a new centralised headquarters. It should be noted that the Proposals represent the implementation of the said intended utilisation of IPO Proceeds and will be fully funded by such IPO Proceeds.
