The Company wishes to announce that UEM Sunrise (Collingwood) Pty Ltd, as trustee for the UEM Sunrise (Collingwood) Unit Trust ("Vendor"), which is a wholly-owned subsidiary of UEM Sunrise (Land) Pty Ltd, in turn an indirect wholly-owned subsidiary of UEM Sunrise, has entered into a Contract of Sale of Real Estate ("Contract") on 16 June 2026 with ITG Australia TS Sub Pty Ltd as trustee for the New Dawn Property A Trust ("Purchaser").
The Contract sets out the terms for the sale of the land with certificates of title volume 9229 folio 197, volume 9377 folio 819, volume 9377 folio 820 and volume 11123 folio 916, measuring 5,390 square metres or 1.33 acres at 21-53 Hoddle Street, Collingwood Vic 3066 in Melbourne, Australia ("Property") by the Vendor to the Purchaser for a purchase price of AUD47.3 million or RM135.5 million ("Purchase Price") ("Proposed Sale").
Concurrently, UEM Sunrise (Collingwood Development) Pty Ltd ("Developer"), which is a wholly-owned subsidiary of UEM Sunrise (Land) Pty Ltd, in turn an indirect wholly-owned subsidiary of UEM Sunrise, has on even date entered into a Fund Through Agreement ("FTA") with the Purchaser to facilitate the development of the Property for a Build-to-Rent ("BTR") development where the Purchaser agrees to appoint the Developer to undertake the construction and development of the Property for a total payment of AUD268.1 million plus Goods and Services Tax ("GST") or RM767.9 million ("Total Payment") ("Proposed BTR Development").
The Proposed Sale and Proposed BTR Development are collectively referred to as the "Proposals". The aggregate gross transaction value of the Proposals is AUD315.4 million or RM903.3 million.
The above conversions are based on the middle exchange rate published by Bank Negara Malaysia on 15 June 2026 at 5.00 p.m. where AUD1.00 is RM2.8641. The actual recognition in Malaysian Ringgit is subject to the exchange rate at the point of recognising the sale and proceeds.
