On behalf of the Board of Directors of PUC ("Directors") ("Board"), Berjaya Securities Sdn Bhd (formerly known as Inter-Pacific Securities Sdn Bhd) ("Berjaya Securities") wishes to announce that the Company proposes to undertake the following:- 

(i) proposed private placement of up to 304,800,000 new ordinary shares in PUC ("PUC Shares" or "Shares"), representing 10% of the existing total number of issued Shares, to independent third-party investor(s) to be identified and at an issue price to be determined later ("Placement Shares") ("Proposed Private Placement"); and 

(ii) proposed acquisition of the entire equity interest in H BESS Sdn Bhd [Registration No.: 202501010181 (1611595-X)] ("H BESS") from Yong Tzen Wae ("YTW") and Datuk Chua Sai Men ("Datuk Chua") (collectively referred to as the "Vendors") for a purchase consideration of RM6.75 million to be satisfied entirely in cash ("Purchase Consideration") ("Proposed Acquisition"). 

The Proposed Acquisition and the Proposed Private Placement shall collectively be referred to as the "Proposals".
