(III)	PROPOSED ACQUISITION 

(COLLECTIVELY REFERRED TO AS THE "PROPOSALS")

(Unless otherwise stated, all abbreviations and definitions used herein shall have the same meaning as those used in the Company's announcement dated 23 December 2025 and 12 February 2026)

 

Reference is made to the Company's announcements dated 23 December 2025, 22 January 2026, 12 February 2026, 13 February 2026, 6 March 2026 and 12 June 2026 in relation to the Proposals.

 

On behalf of the Board, Berjaya Securities wishes to announce that on 23 June 2026:-

 

(i)         HFGSB and HGB have mutually agreed to rescind and exclude the sale and purchase of the PK Fertilizers Sale Shares. Accordingly, the terms of the SSAs have been varied, amended and supplemented; and

 

(ii)         HIB and the Vendors have mutually agreed to vary certain conditions precedent to the SPA and the guaranteed period for the Profit Guarantee from FYE 2026, FYE 2027 and FYE 2028 to FYE 2027, FYE 2028 and FYE 2029.
