The Board of Directors of ECM Libra Group Berhad ("ECMLG" or "Company") wishes to announce the following:

(a) the Company has, on 6 July 2026, entered into an agreement ("Agreement") with TP Real Estate Holdings Pte Ltd ("TPRE"), a wholly-owned subsidiary of Plato Capital Limited, whereby the Company and TPRE have agreed to enter into a joint venture in respect of Ormond Group Sdn Bhd ("OGSB"), a company currently wholly-owned by ECMLG, subject to the terms and conditions stipulated in the Agreement.

Pursuant to the Agreement, TPRE shall subscribe for 12,500,000 new ordinary shares in OGSB for a total cash consideration of RM100,000 ("Share Subscription"). Upon completion of the Share Subscription, OGSB shall cease to be a wholly-owned subsidiary of ECMLG. OGSB shall thereafter be owned in equal proportion (50:50) by ECMLG and TPRE ("Joint Venture").

(b) OGSB has, on 6 July 2026, entered into separate Hotel Management Agreements with:

(i) ICSD Ventures Sdn Bhd for the provision of hotel management services to Ormond Hotel Sandakan; and

(ii) The RuMa Hotel KL Sdn Bhd for the provision of hotel management services to The RuMa Hotel and Residences,

(collectively, referred to as the "Hotel Management Agreements").

The Joint Venture and Hotel Management Agreements are collectively referred to as the "Transactions".
