The Board of Directors of YNHP ("Board") wishes to announce that, on 8 July 2026, YNH Land Sdn. Bhd. ("YNHL" or "Vendor"), a wholly-owned subsidiary of YNHP, of which 97% is held directly by YNHP and 3% is held via Kar Sin Berhad ("KSB"), a wholly-owned subsidiary of YNHP, had on the same date entered into a conditional sale and purchase agreement ("SPA") with Chin Hin Property (JSI) Sdn. Bhd. ("CHPJSI" or "Purchaser"), a 70%-owned subsidiary of BKG Development Sdn. Bhd. ("BKGD"), which in turn is a wholly-owned subsidiary of Chin Hin Group Property Berhad ("CHGP"), for the proposed disposal of a parcel of freehold commercial development land held under Geran 75552, Lot 20002, Section 57, Town and District of Kuala Lumpur, Federal Territory of Kuala Lumpur ("Land" or "Subject Property"), for a total consideration of RM455,000,000 ("Disposal Consideration"), to be satisfied by cash of RM409,475,000, the issuance of 455,000 redeemable preference shares in CHPJSI amounting to RM45,500,000 and the issuance of 25,000 ordinary shares in CHPJSI amounting to RM25,000.
