We refer to the announcement by MI dated 28 September 2026 in relation to the proposed dividend-in-specie of 9,000,000 ordinary shares in Mi Material Holding Pte. Ltd. (to be renamed Mi Material Holding Limited) ("Mi Material") ("Distributable Shares") to the entitled shareholders of Mi Technovation Berhad ("MI" or "Company") ("Entitled MI Shareholders") by way of a dividend-in-specie, on the basis of one (1) Mi Material share for every one hundred (100) MI shares held by the Entitled MI Shareholders as at 5:00 p.m. on 12 October 2026 ("Dividend-in-Specie").
In accordance with the Deed Poll dated 31 October 2025 and pursuant to the terms and conditions of MI-C50, no adjustment shall be made to the Exercise Ratio or Exercise Price where such adjustment would amount to less than 2% of the Exercise Ratio or Exercise Price being changed.
