| (i) The Warrants issued pursuant to the Rights Issue of Shares with Warrants and the Rights Issue of ICULS with Warrants are issued for free to the entitled shareholders and/or their renouncee(s)/transferee(s) who subscribe to the Rights Shares with Warrants and/or Rights ICULS with Warrants; and (ii) The Rights Warrants issued pursuant to the Restricted Issue of Warrants are issued at an issue price of RM0.02 per Rights Warrant to the entitled warrants holders who subscribe to the Rights Warrants. Each Warrant entitles the registered holder to subscribe for one (1) new SMPC Share at any time during the period commencing on and including the Issue Date and ending at 5.00 p.m. in Malaysia on the Maturity Date (“Exercise Period”) at the Exercise Price which shall be subject to the adjustments under certain circumstance in accordance with the provisions of the Deed Poll dated 28 March 2012 constituting the Warrants during the Exercise Period. Any Warrants not exercised during the Exercise Period will thereafter lapse and cease to be valid for any purpose. |
