LONBISC-WA - Notice of Book Closure

ADJUSTMENTS TO THE EXERCISE PRICE AND NUMBER OF THE OUTSTANDING WARRANTS 2015/2020 IN LONDON BISCUITS BERHAD ("LBB" OR THE "COMPANY") CONSTITUTED BY THE DEED POLL DATED 7 JANUARY 2015 ("DEED POLL") ("OUTSTANDING WARRANTS") PURSUANT TO THE BONUS ISSUE OF UP TO 61,549,100 NEW ORDINARY SHARES IN LBB ("LBB SHARES") ("BONUS SHARES") ON THE BASIS OF 1 BONUS SHARE FOR EVERY 4 EXISTING LBB SHARES HELD AS AT 5.00 P.M. ON 23 JANUARY 2019 ("ENTITLEMENT DATE") ("BONUS ISSUE")
 

Kindly be advised of the following : 

1)  The above Company's securities will be traded and quoted "Ex - Adjustment” as from: 18 Jan 2019
2)  The last date of lodgment : 23 Jan 2019
 

Remarks 1: Bursa Malaysia Securities Bhd would like to clarify that on the basis of settlement taking place after 23 January 2019 with adjustment to the number of outstanding LONBISC-WA  shares, any shareholder who is entitled to receive LONBISC-WA additional shares may now sell any or all of his LONBISC-WA shares arising from adjustment pursuant to the bonus issue beginning the Ex-Date (18 January 2019).

For example, if Mr X purchases 400 shares on cum basis on 17 January 2019, Mr X should receive 400 shares on 4 January 2018. Pursuant to the Bonus share, a total of 500 LONBISC-WA shares will be credited into Mr X's CDS account on the night of  23 January 2019 being the Book Closing Date. Therefore, Mr X can sell the LONBISC-WA shares of 500 on or after the Ex-Date i.e. from  18 January 2019

Remarks 2: Following the Bonus Issue, the exercise price and the number of Outstanding Warrants shall be adjusted in accordance with the provisions of the Deed Poll ("Adjustments"). Additional new Warrants 2015/2020 arising from the Adjustments ("Additional Warrants") will be allotted and issued to the entitled holders of Outstanding Warrants of the Company, whose names appear in the Record of Depositors at 5.00 p.m. on the Entitlement Date. The actual number of Additional Warrants to be issued and allotted would depend on the number of Outstanding Warrants which have yet to be exercised into new LBB Shares as at the Entitlement Date. The Additional Warrants will be listed and quoted simultaneously with the Bonus Shares on the Main Market of Bursa Malaysia Securities Berhad on 24 January 2019, being the next market day following the Entitlement Date. The notice to the holders of Outstanding Warrants setting out the details of the Adjustments as well as the notice of allotment of the Additional Warrants will be despatched in due course. Holders of the Outstanding Warrants who wish to be entitled to the Bonus Shares shall exercise their rights to subscribe for new LBB Shares by lodging their duly completed exercise forms together with the relevant subscription monies with LBBs Share Registrar (at the address stated above) on or before 5.00 p.m. on 10 January 2019 such that their names will appear in the Record of Depositors for LBB Shares at 5.00 p.m. on the Entitlement Date.
