| The RALCO-WB are issued pursuant to the following: - renounceable rights issue of 16,628,640 RALCO-WB to all the shareholders of Ralco Corporation Berhad (“Ralco”) on the basis of two (2) RALCO-WB for every five (5) ordinary shares of RM1.00 each (“Ralco Share(s)”) held in Ralco at 5.00 p.m. on 23 November 2009 ("Rights Issue of Warrants"); and - restricted issue of 3,712,315 RALCO-WB to the holders of the unexercised Warrants 2004/2009 on 22 November 2009, being the expiry date of the Warrants 2004/2009 (“Expiry Date”) on the basis of two (2) RALCO-WB for every five (5) unexercised Warrants 2004/2009 held on the Expiry Date ("Restricted Issue of Warrants"). Each RALCO-WB carries the entitlement to subscribe for one (1) new Ralco Share at the exercise price (as indicated above) and at any time during the exercise period (as indicated above), subject to the adjustments in accordance with the provisions of the deed poll dated 3 November 2009 constituting the RALCO-WB. Any RALCO-WB not exercised during the exercise period (as indicated above) will thereafter lapse and cease to be valid for any purpose. This announcement is dated 21 December 2009. |
