The Warrants (as defined herein) are issued for free to the subscribers of the renounceable rights issue of 114,391,200 new ordinary shares in Pasdec Holdings Berhad ("Pasdec") ("Rights Share(s)") on the basis of two (2) Rights Shares for every five (5) existing ordinary shares on Pasdec ("Pasdec Share(s)") held as at 5.00 p.m. on Wednesday, 16 May 2018, together with 114,391,200 free detachable new warrants 2018/2023 ("Warrant(s)") on the basis of one (1) Warrant for every one (1) Rights Share subscribed, at an issue price of RM0.35 per Rights Share ("Rights Issue with Warrants").

Each Warrant carries the entitlement to subscribe for one (1) new Pasdec Share at the exercise price of RM1.00 each, exercisable at any time during the exercise period as indicated above ("Exercise Period") subject to the adjustments in accordance with the provisions of the deed poll dated 23 March 2018 constituting the Warrants. Any Warrants not exercised during the Exercise Period will thereafter lapse and cease to be valid for any purpose.
