The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcements in relation to the Proposals.

Reference is made to the announcements by UOBKH on behalf of the Board on 29 October 2019, 4 December 2019, 23 December 2019 and 8 January 2020 in relation to the Proposals.

On behalf of the Board, UOBKH wishes to announce that Bursa Securities had, vide its letter dated 10 January 2020, resolved to approve the following:-

i.          admission to the Official List of Bursa Securities and the listing of up to 158,040,024 Warrants to be issued pursuant to the Proposed Rights Issue with Warrants;

ii.          listing and quotation for up to 36,470,775 new Goodway Shares to be issued pursuant to the Proposed Private Placement;

iii.         listing and quotation for up to 237,060,037 new Goodway Shares to be issued pursuant to the Proposed Rights Issue with Warrants; and

iv.         listing and quotation for up to 158,040,024 new Goodway Shares to be issued pursuant to the exercise of Warrants.

The approval granted by Bursa Securities is subject to the following conditions:-

i.          Goodway and UOBKH must fully comply with the relevant provisions under the Main Market Listing Requirements ("Listing Requirements") pertaining to the implementation of the Proposed Private Placement and Proposed Rights Issue with Warrants;

ii.          Goodway and UOBKH to inform Bursa Securities upon the completion of the Proposed Private Placement and Proposed Rights Issue with Warrants;
iii.         UOBKH to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities' approval once the Proposed Private Placement and Proposed Rights Issue with Warrants are completed;

iv.         UOBKH to furnish the following to Bursa Securities prior to the listing and quotation of the new shares to be issued pursuant to the Proposed Private Placement and Proposed Rights Issue with Warrants:-

(a) confirmation that Goodway complies with 25% public shareholding spread requirement pursuant to Paragraph 8.02(1) of the Listing Requirements; and

(b) a certified true copy of the resolution passed by the shareholders approving the Proposed Private Placement and Proposed Rights Issue with Warrants to Bursa Securities.

v.         Goodway to furnish Bursa Securities on a quarterly basis a summary of the total number of shares listed pursuant to the exercise of Warrants as at the end of each quarter together with a detailed computation of listing fees payable.
