Ng Boon Thong @ Ng Thian Hock (“Ultimate Offeror”) for a cash consideration of RM1.20 per Amverton Share (“Offer”).

In light of the Offer, the public shareholding spread of Amverton as at 27 March 2020 is 1.78%. As such, Amverton continues to be deemed not in compliance with the public shareholding spread requirement.

Please take note that the Offer has closed at 5.00 p.m. (Malaysian time) on Friday, 27 March 2020 (“Final Closing Date”).

In view that the Offeror, Ultimate Offeror and persons acting in concert with them collectively hold more than 90% of the listed shares (excluding treasury shares) in Amverton and it is noted that the Offeror does not intend to maintain the listing status of Amverton, pursuant to Paragraph 16.02(3) of the Listing Requirements, Bursa Securities will suspend the trading of Amverton Shares immediately upon the expiry of 5 market days from the Final Closing Date. The suspension will be effected from 9.00 a.m. (Malaysian time) on Monday, 6 April 2020. The Offeror and Ultimate Offeror will procure Amverton to take the requisite steps to withdraw its listing status from the Official List of Bursa Securities, in accordance with Paragraph 16.07 of the Listing Requirements.
