We refer to the announcements made in relation to the Proposed Realtors8 Acquisition dated 15 February 2018, 14 May 2018, 6 June 2018, 21 June 2018, 2 July 2018, 9 July 2018, 27 July 2018 and 6 August 2018 (“Announcements”). For consistency purposes, the abbreviations used in this announcement are the same as those previously defined in the Announcements unless otherwise defined herein. On behalf of the Board, Mercury Securities wishes to announce that as the EBITDA of Realtors8 Group for each FYE 31 March 2019 and FYE 31 March 2020 was below SGD400,000 based on the Statement of EBITDA Calculations prepared by Realtors8’s auditors, no Tranche 2 Consideration Shares will be issued.
