SUPERMX-C1F - Notice of Book Closure

ADJUSTMENT TO THE TERMS AND CONDITIONS OF THE EUROPEAN STYLE NON-COLLATERALISED CASH SETTLED CALL WARRANTS OVER ORDINARY SHARES OF SUPERMAX CORPORATION BERHAD ("SUPERMX") ("SUPERMX SHARES") ("SUPERMX-C1F") PURSUANT TO BONUS ISSUE OF UP TO 1,360,309,760 NEW ORDINARY SHARES IN SUPERMX ("BONUS SHARES") ON THE BASIS OF ONE (1) BONUS SHARE FOR EVERY ONE (1) EXISTING SUPERMX SHARES HELD ON 7 SEPTEMBER 2020 ("ENTITLEMENT DATE") ("BONUS ISSUE").
 

Kindly be advised of the following : 

1)  The above Company's securities will be traded and quoted "Ex - Adjustment” as from: 4 Sep 2020
2)  The last date of lodgment : 7 Sep 2020

Remarks:-  (Unless otherwise defined in this announcement, the definitions contained in the announcement dated 14 August 2020 shall apply throughout this announcement)

Reference is also made to the base prospectus dated 13 August 2020 ("Base Prospectus") and the Term Sheet governing the terms and conditions of SUPERMX-C1F dated 14 August 2020.

The terms and conditions of the SUPERMX-C1F shall be correspondingly adjusted based on the formulas below:

(I) Adjusted Exercise Ratio = E / (1+N)

(II) Adjusted Exercise Price = X / (1+N)

where,

X = RM35.00, being the existing Exercise Price of SUPERMX-C1F immediately prior to the Bonus Issue

N = 1, being the number of additional SUPERMX Share (whether a whole or fraction) received by a holder of existing SUPERMX Share for each SUPERMX Share held prior to the Bonus Issue

E = 50, being the existing Exercise Ratio of SUPERMX-C1F immediately prior to the Bonus Issue

 Based on the formulas above,

(I) Exercise Ratio of SUPERMX-C1F will be adjusted from 50 to 25.

 (II) Exercise Price of SUPERMX-C1F will be adjusted from RM35.00 to RM17.50.

The actual adjustments to SUPERMX-C1F will take effect immediately on the ex-date of the Bonus Issue on 4 September 2020.
