OWG-WA - Notice of Book Closure

ADJUSTMENTS TO THE EXERCISE PRICE AND NUMBER OF OUTSTANDING WARRANTS 2018/2023 IN ONLY WORLD GROUP HOLDINGS BERHAD ("OWG" OR "COMPANY") ("WARRANTS A") PURSUANT TO THE RENOUNCEABLE RIGHTS ISSUE OF UP TO 160,259,996 NEW ORDINARY SHARES IN OWG ("OWG SHARE(S)") ("RIGHTS SHARE(S)") AT AN ISSUE PRICE OF RM0.21 PER RIGHTS SHARE TOGETHER WITH UP TO 80,129,998 FREE DETACHABLE WARRANTS IN OWG ("WARRANTS B") ON THE BASIS OF 2 RIGHTS SHARES TOGETHER WITH 1 FREE WARRANT B FOR EVERY 5 EXISTING OWG SHARES HELD AS AT 5.00 P.M. ON 3 NOVEMBER 2020 ("ADJUSTMENTS") ("RIGHTS ISSUE WITH WARRANTS").
 

Kindly be advised of the following : 

1)  The above Company's securities will be traded and quoted "Ex - Adjustment” as from: 2 Nov 2020
2)  The last date of lodgment : 3 Nov 2020

Remarks:-  The notice of book closure in relation to the Rights Issue with Warrants had been announced by OWG on 16 October 2020.

Holders of outstanding Warrants A ("Warrant(s) A Holders") who wish to be entitled to the Rights Shares with Warrants should exercise their Warrants A by lodging their duly completed Warrants A exercise forms together with the relevant exercise subscription monies with the Share Registrar, Tricor Investor & Issuing House Services Sdn Bhd, on or before 5.00 p.m. on 23 October 2020. This is to enable their names to appear in the Companys Record of Depositors by 5.00 p.m. on 3 November 2020.

The Warrant A Holders who have not exercised their outstanding Warrants A and whose names appear in the Record of Depositors for the outstanding Warrants A as at 5.00 p.m. on 3 November 2020 would be entitled to the Adjustments.

The additional Warrants A will be listed and quoted simultaneously with the Rights Shares and Warrants B. The notice to Warrant A Holders setting out the details of the adjustments to the Warrants A and the notice of allotment of additional Warrants  A will be despatched to the Warrant A Holders in due course.

This amended announcement is due to the amendment to the entitlement date of the adjustments to the Warrants A.
