KOMARK-WC - Notice of Book Closure

ADJUSTMENTS TO THE EXERCISE PRICE AND NUMBER OF OUTSTANDING WARRANTS 2021 / 2024 OF KOMARKCORP BERHAD (''KOMARKCORP'' OR THE ''COMPANY'') (''WARRANTS C'') IN ACCORDANCE WITH THE PROVISIONS OF THE DEED POLL DATED 6 JANUARY 2021 CONSTITUTING THE WARRANTS C (''DEED POLL C'') PURSUANT TO THE SHARE SPLIT INVOLVING THE SUBDIVISION OF EVERY 10 EXISTING ORDINARY SHARES IN KOMARKCORP ("KOMARKCORP SHARES" OR "SHARES") HELD AT 5.00 P.M. ON 10 FEBRUARY 2021 (''BOOKS CLOSURE DATE'') INTO 18 SHARES (''SPLIT SHARES'') (''SHARE SPLIT'') (''ADJUSTMENTS'')
 

Kindly be advised of the following : 

1)  The above Company's securities will be traded and quoted "Ex - Adjustment” as from: 9 Feb 2021
2)  The last date of lodgment : 10 Feb 2021

Remarks 1): -  "Bursa Malaysia Securities Bhd would like to clarify that on the basis of settlement taking place after 10 February 2021 with adjustment to the number of outstanding  KOMARK-WC shares, any shareholder who is entitled to receive  KOMARK-WC additional shares may now sell any or all of his  KOMARK-WC shares arising from adjustment consequent to share split beginning the Ex-Date ( 9 February 2021). 

For example, if Mr X purchases 100  KOMARK-WC shares on cum basis on 8 February 2021, Mr X should receive 100 shares on 10 February 2021. Consequent to share split, an additional of 80 KOMARK-WC shares will be credited into Mr X's CDS account on the night of 10 February 2021 being the Book Closing Date. Therefore, Mr X can sell a total of 180 KOMARK-WC shares on or after the Ex-Date ie from 9 February 2021 onwards."

Remarks 2:

Consequential to the Share Split, the exercise price and total number of outstanding Warrants C which are not exercised prior to the Books Closure Date will be adjusted in accordance with the provisions of the Deed Poll C.

Pursuant to the Adjustments, holders of Warrants C (''Warrant C Holders'') whose names appear in the Record of Depositors for the Warrants C as at 5.00 p.m. on the Books Closure Date will be entitled to receive additional Warrants C ("Additional Warrants C") on the basis of 8 Additional Warrants C for every 10 existing Warrants C held.

Fractional entitlements arising from the Adjustments, if any, shall be disregarded and/or dealt with by the Board of Directors of the Company ("Board") in such manner as the Board in its absolute discretion deems fit and expedient in the best interests of the Company. The exact number of Additional Warrants C to be issued will depend on the number of outstanding Warrants C as at 5.00 p.m. on the Books Closure Date.

The Additional Warrants C will be listed and quoted on the Main Market of Bursa Malaysia Securities Berhad on 11 February 2021, being the next market day following the Books Closure Date.

Pursuant to the Adjustments, the exercise price of the Warrants C will be adjusted from RM1.00 to RM0.56.

A notification to the Warrant C Holders setting out details of the Adjustments will be despatched to the Warrant C Holders in due course.

Warrant C Holders who wish to be entitled to the Share Split must exercise their Warrants C to subscribe for new Shares by lodging their duly completed exercise forms together with the relevant subscription monies with the Company's Share Registrar (at the address stated above) on or before 5.00 p.m. on 29 January 2021 such that their names will appear in the Record of Depositors for the Shares as at 5.00 p.m. on the Books Closure Date.
