SERNKOU-WA - Notice of Book Closure

SERN KOU RESOURCES BERHAD ("SKRB" OR THE "COMPANY") ADJUSTMENTS TO THE EXERCISE PRICE AND NUMBER OF OUTSTANDING WARRANTS 2018/2023 IN SKRB AS CONSTITUTED BY THE DEED POLL DATED 5 MARCH 2018 ("DEED POLL") ("OUTSTANDING WARRANTS") PURSUANT TO THE BONUS ISSUE OF UP TO 720,000,000 NEW ORDINARY SHARES IN SERN KOU ("SKRB SHARES" OR "SHARES") ("BONUS SHARES") ON THE BASIS OF 2 BONUS SHARES FOR EVERY 1 EXISTING SHARE HELD AS AT 5.00 P.M. ON 8 JUNE 2021 ("ENTITLEMENT DATE") ("BONUS ISSUE")
 

Kindly be advised of the following : 

1)  The above Company's securities will be traded and quoted "Ex - Adjustment” as from: 4 Jun 2021
2)  The last date of lodgment : 8 Jun 2021
 

Remarks 1 :-

"Bursa Malaysia Securities Bhd would like to clarify that on the basis of settlement taking place after 8 June 2021  with adjustment to the number of outstanding SERNKOU-WA shares, any shareholder who is entitled to receive SERNKOU-WA additional shares may now sell any or all of his SERNKOU-WA shares arising from adjustment consequent to the bonus issue beginning the Ex-Date (4 June 2021 ). 

For example, if Mr X purchases 100 SERNKOU-WA shares on cum basis on 3 June 2021, Mr X should receive 100 shares on 8 June 2021 . Consequent to a bonus issue, an additional of 200 SERNKOU-WA shares will be credited into Mr X's CDS account on the night of 8 June 2021  being the Book Closing Date. Therefore, Mr X can sell the a total of 300 SERNKOU-WA shares on or after the Ex-Date ie from 4 June 2021  onwards." 

Remarks 2:
Following the Bonus Issue, the exercise price and the number of Outstanding Warrants shall be adjusted in accordance with the provisions of the Deed Poll ("Adjustments"). 

Additional new Warrants 2018/2023 arising from the Adjustments ("Additional Warrants") will be allotted and issued to the entitled holders of Outstanding Warrants of the Company, whose names appear in the Record of Depositors at 5.00 p.m. on the Entitlement Date. 

The actual number of Additional Warrants to be issued and allotted would depend on the number of Outstanding Warrants which have yet to be exercised into new SKRB Shares as at the Entitlement Date.

The Additional Warrants will be listed and quoted simultaneously with the Bonus Shares on the Main Market of Bursa Malaysia Securities Berhad on 9 June 2021, being the next market day following the Entitlement Date. The notice to the holders of Outstanding Warrants setting out the details of the Adjustments as well as the notice of allotment of the Additional Warrants will be despatched in due course.

Holders of the Outstanding Warrants who wish to be entitled to the Bonus Shares shall exercise their rights to subscribe for new SKRB Shares by lodging their duly completed exercise forms together with the relevant subscription monies with SKRBs Share Registrar (at the address stated above) on or before 5.00 p.m. on 25 May 2021  such that their names will appear in the Record of Depositors for SKRB Shares at 5.00 p.m. on the Entitlement Date.
