BIOALPHA HOLDINGS BERHAD ("BIOALPHA" OR "COMPANY") ADJUSTMENTS TO THE EXERCISE PRICE AND NUMBER OF OUTSTANDING WARRANTS 2017/2022 IN BIOALPHA AS CONSTITUTED BY THE DEED POLL DATED 23 NOVEMBER 2016 ("WARRANTS") ("ADJUSTMENTS") PURSUANT TO THE: (I) RENOUNCEABLE RIGHTS ISSUE OF 74,031,388 NEW ORDINARY SHARES IN BIOALPHA ("BIOALPHA SHARES") ("RIGHTS SHARES") AT AN ISSUE PRICE OF RM0.20 EACH ON THE BASIS OF 1 RIGHTS SHARE FOR EVERY 15 EXISTING BIOALPHA SHARES HELD AS AT 5.00 P.M. ON 23 APRIL 2021; AND (II) RENOUNCEABLE RIGHTS ISSUE OF 185,078,472 NEW IRREDEEMABLE CONVERTIBLE PREFERENCE SHARES IN BIOALPHA ("ICPS") ("RIGHTS ICPS") AT AN ISSUE PRICE OF RM0.02 EACH ON THE BASIS OF 1 RIGHTS ICPS FOR EVERY 6 EXISTING BIOALPHA SHARES HELD AS AT 5.00 P.M. ON 23 APRIL 2021
Pursuant to the Adjustments, the existing number of 133,332,785 Warrants as at 5.00 p.m. on 23 April 2021 (Entitlement Date) will be adjusted into 134,184,246 Warrants (after disregarding the fractional entitlements arising from the Adjustments), whereby the additional 851,461 Warrants will be listed and quoted on the ACE Market of Bursa Malaysia Securities Berhad on 28 May 2021. The Board had resolved that no adjustment will be made to the existing exercise price of the outstanding Warrants. The additional Warrants arising from the Adjustments were issued based on the entitlement ratio of 0.0063: 1.0000 (additional Warrants : existing number of outstanding Warrants as at the Entitlement Date). The notice setting out the details of the Adjustments to the holders of Warrants was despatched to entitled Warrant holders on 27 April 2021. This announcement is dated 27 May 2021.
