The Board of Directors of DFCITY had on 28 April 2021 announced via Bursa Securities the Notice of Twelfth Annual General Meeting (“12th AGM”) to be held at The Board Room of Ornaresort Berhad, Batu 16, Jalan Gapam, Ladang Gapam, Bemban, 77200 Melaka on Monday, 28 June 2021 at 10:30 a.m.

On 28 May 2021, a statement was issued by the Prime Minister’s Office subsequent to the special meeting of the National Security Council where the decision was made to implement a Full Movement Control Order (“FMCO”) lockdown. FMCO will be implemented in phases with the initial phase of a total lockdown starting from 1 June 2021 to 14 June 2021 nationwide, which has now been extended to 28 June 2021 to curb the increase in Coronavirus Disease 2019 (“COVID-19”) infections in Malaysia. 

In response, the Securities Commission Malaysia (“SC”) issued a revision to its Guidance Note on the Conduct of General Meetings for Listed Issuers (“Revised Guidance Note”), which takes effect from 1 June 2021 onwards. The Revised Guidance Note requires every listed issuer to conduct a FULLY virtual General Meeting during the FMCO period where all meeting participants including the Chairperson of the meeting, board members, senior management and shareholders, participate in the meeting online.

In view that the physical meeting are not allowed during FMCO or until such time permissible by the National Security Council or any other relevant Government Authorities, the Board of Directors of DFCITY has decided to postpone the 12th AGM of the Company and the Company had been granted an extension of time up to 28 September 2021 to hold its 12th AGM by the Companies Commission of Malaysia (“CCM”) pursuant to Section 340(4) of the Companies Act 2016 and the Practice Directive No. 8/2021 issued by CCM.

The date of the Company’s 12th AGM will be determined and announced in due course.
