ADJUSTMENTS TO THE EXERCISE PRICE AND NUMBER OF OUTSTANDING WARRANTS 2019 / 2024 OF LAMBO GROUP BERHAD ("LAMBO" OR THE "COMPANY") ("WARRANTS B") AS SPECIFIED IN THE DEED POLL DATED 15 APRIL 2019 ("DEED POLL B") PURSUANT TO THE RENOUNCEABLE RIGHTS ISSUE OF UP TO 1,207,787,815 NEW ORDINARY SHARES IN LAMBO ("LAMBO SHARES" OR "SHARES") ("RIGHTS SHARES") AT AN ISSUE PRICE OF RM0.10 PER RIGHTS SHARE TOGETHER WITH UP TO 483,115,126 FREE DETACHABLE WARRANTS IN LAMBO ("WARRANTS C") ON THE BASIS OF 5 RIGHTS SHARES TOGETHER WITH 2 FREE WARRANTS C FOR EVERY 1 EXISTING SHARE HELD BY THE ENTITLED SHAREHOLDERS OF THE COMPANY AT 5.00 P.M. ON 12 AUGUST 2021 ("ENTITLEMENT DATE") ("RIGHTS ISSUE WITH WARRANTS") ("ADJUSTMENTS")
In accordance with the provisions of the Deed Poll B, the Adjustments shall take effect from 13 August 2021, being the next market day following the Entitlement Date. Pursuant to the Rights Issue of Warrants, the exercise price of the Warrants B will be revised from RM4.00 to RM1.67 each and an additional 52,552,670 Warrants B will be allotted and issued on 16 August 2021 to the entitled warrant holders whose names appear on the Record of Depositors of the Company at 5.00pm on 12 August 2021. The additional Warrants B were issued based on the entitlement ratio of 1.2500 : 1.0000 (additional Warrants B : number of outstanding Warrants B held as at the Entitlement Date) and after disregarding fractional entitlements. However, the additional Warrants B will be listed and quoted on the ACE Market of Bursa Malaysia Securities Berhad ("Bursa Securities") on 13 September 2021 simultaneously with the Rights Shares and Warrants C. Furthermore, any new Shares to be issued pursuant to the exercise of the additional Warrants B will only be allotted and issued on or after the additional Warrants B are listed and quoted on the ACE Market of Bursa Securities on 13 September 2021. The notice to the holders of Warrants B (setting out the details of the Adjustments) and the notice of allotment of the additional Warrants B will be despatched in due course.
