REPLY TO QUERY FROM BURSA MALAYSIA SECURITIES BERHAD ("BURSA SECURITIES") DATED 2 DECEMBER 2021 PERTAINING TO THE LETTER OF INTENT ("LOI") TO ACQUIRE WAFER FAB IN THE US

We refer to your Company’s announcement dated 30 November 2021, in respect of the aforesaid matter.

In this connection, kindly furnish Bursa Securities with the following additional information for public release:-

1. The date on which the Company issued the LOI and the date on which the US foundry accepted the LOI.
2. The name of the US foundry company.
3. The name(s) of the vendor(s).
4. The manner in which the purchase consideration will be satisfied including the terms of any arrangement  for payment on a deferred basis.
5. Where the purchase consideration is to be satisfied by cash, the source(s) of funding and its breakdown.
6. The rationale for the Acquisition including any benefit which is expected to accrue to KeyAsic from the business, financial and operational perspective.
7. Whether the Acquisition is subject to approval of the shareholders and the relevant government authorities.
8. The duration/expiry date of the LOI, whether renewable and if so, for how long.
