FREE DETACHABLE WARRANTS ("WARRANTS") ISSUED PURSUANT TO THE RENOUNCEABLE RIGHTS ISSUE OF RM974,513,219.25 IN NOMINAL VALUE OF 7-YEAR REDEEMABLE CONVERTIBLE UNSECURED ISLAMIC DEBT SECURITIES ("RCUIDS") AT NOMINAL VALUE OF RM0.75 EACH BASED ON THE SHARIAH PRINCIPLE OF MURABAHAH (VIA TAWARRUQ ARRANGEMENT) COMPRISING 1,299,350,959 RCUIDS TOGETHER WITH 649,675,479 WARRANTS, ON THE BASIS OF 2 RCUIDS WITH 1 WARRANT FOR EVERY 6 ORDINARY SHARES IN AIRASIA GROUP BERHAD ("AAGB SHARES") HELD BY THE ENTITLED SHAREHOLDERS AT 5.00 P.M. ON 2 DECEMBER 2021
Each Warrant entitles the registered holder to subscribe for 1 new AAGB Share at the Exercise Price at any time during the Exercise Period, subject to adjustments in accordance with the provisions of the deed poll dated 18 November 2021 constituting the Warrants. The Warrants shall be exercisable into new AAGB Shares anytime during the Warrants' exercise period of 7 years from and inclusive of the date of issuance of the Warrants and up to and including the expiry date of the Warrants. Any Warrants which have not been exercised during the Exercise Period shall thereafter lapse and cease to be valid for any purpose. This announcement is dated 30 December 2021.
