We refer to the previous announcements and the offer document dated 4 February 2022 (“Offer Document”) in relation to the Offer. Unless otherwise defined, the terms used herein shall have the same meaning as defined in the Offer Document.


On 11 February 2022, the Company had been informed by the Joint Offerors that pursuant to the Offer, the Joint Offerors have received Valid Acceptances in respect of the Offer Shares, which resulted in the Joint Offerors collectively holding 279,140,300 Zenworld Shares, representing approximately 93.05% of the total issued shares of Zenworld as at 5.00 p.m. (Malaysian time) on 11 February 2022.


In addition, the Company does not comply with the public shareholding spread requirement of at least 10% pursuant to Rule 3.03 of the LEAP Market Listing Requirements. As at 11 February 2022, the Company’s public shareholding spread was approximately 6.95%.


As the Joint Offerors collectively hold more than 90% of the listed shares in Zenworld and in view that the Joint Offerors do not intend to maintain the listing status of Zenworld on the LEAP Market of Bursa Securities, Bursa Securities will suspend the trading of Zenworld Shares immediately on the 6th Market Day after the end of the Offer Period in accordance with Rule 8.02(2) of the LEAP Market Listing Requirements. Thereafter, the Joint Offerors will procure Zenworld to take the requisite steps to withdraw its listing status from the Official List in accordance with Rule 8.08 of the Listing Requirements.
