We refer to the previous announcements and the offer document dated 4 February 2022 (“Offer Document”) in relation to the Offer. Unless otherwise defined, the terms used herein shall have the same meaning as defined in the Offer Document.

The Board of Directors of Zenworld wishes to announce that the Company had on 18 February 2022 received a press notice from UOBKH, on behalf of the Joint Offerors, informing that the notice pursuant to Subsection 223(2) of the Capital Markets and Services Act 2007 ("CMSA") in respect of the Offer has been dispatched to the shareholders of the Company on even date.

Pursuant to the Offer Document, the closing time and date for acceptances of the Offer is 5.00 p.m. (Malaysian time) on Friday, 25 February 2022.

Premised on the above, the Offer is still open for acceptance. Any Holders who wish to accept the Offer prior to the closing time and date as mentioned above are advised to refer to the Offer Document for the details, terms and conditions of the Offer and the procedures for acceptance of the Offer.

Notwithstanding the above, Holders can also elect to exercise his/her rights under Subsection 223(1) of the CMSA, to serve a notice to require the Joint Offerors to acquire his/her Offer Shares on the same terms as set out in the Offer Document or such other terms as may be agreed or as the court thinks fit to order, in an application made to it by the Holders or the Joint Offerors, after the Closing Date.

If any Holders wish to exercise his/her rights in accordance with Subsection 223(1) of the CMSA after the Closing Date, such Holder can serve the Joint Offerors a notice to acquire his/her Offer Shares, whereby such acquisition shall be done on the same terms as the Offer as set out in the Offer Document.
