VIZIONE HOLDINGS BERHAD ("VIZIONE" OR THE "COMPANY") ADJUSTMENTS TO THE EXERCISE PRICE AND NUMBER OF OUTSTANDING WARRANTS 2020/2023 IN VIZIONE AS CONSTITUTED BY THE DEED POLL DATED 18 AUGUST 2020 ("WARRANTS D") ("ADJUSTMENTS") PURSUANT TO THE RENOUNCEABLE RIGHTS ISSUE OF 1,022,900,003 NEW ORDINARY SHARES IN VIZIONE ("VIZIONE SHARES" OR "SHARES") ("RIGHTS SHARES") ON THE BASIS OF 1 RIGHTS SHARE FOR EVERY 1 EXISTING SHARE HELD AS AT 5.00 P.M. ON 4 FEBRUARY 2022 ("ENTITLEMENT DATE"), AT AN ISSUE PRICE OF RM0.08 PER RIGHTS SHARE TOGETHER WITH 511,449,980 FREE DETACHABLE WARRANTS ("WARRANTS" OR "WARRANTS E") ON THE BASIS OF 1 WARRANT E FOR EVERY 2 RIGHTS SHARES SUBSCRIBED FOR ("RIGHTS ISSUE OF SHARES WITH WARRANTS")
Pursuant to the adjustments to the exercise price and number of outstanding Warrants D arising from the Rights Issue of Shares with Warrants ("Adjustments"), (i) the existing number of 302,714,699 Warrants D as at 5.00 p.m. on 4 February 2022 will be adjusted into 410,841,492 Warrants D (after disregarding the fractional entitlements arising from the Adjustments), whereby the additional 108,126,793 Warrants D will be listed and quoted on the Main Market of Bursa Malaysia Securities Berhad on 7 March 2022; and (ii) the exercise price of Warrants D of RM0.32 each will be revised to RM0.22 each. The additional Warrants D arising from the Adjustments were issued based on the entitlement ratio of 0.3572: 1.0000 (additional Warrants D : existing number of outstanding Warrants D as at the Entitlement Date). The notice setting out the details of the Adjustments to the holders of Warrants D was despatched to entitled Warrant D holders on 9 February 2022. This announcement is dated 4 March 2022.
