We refer to the announcements dated 12 May 2021, 16 June 2021, 26 July 2021, 6 August 2021, 30 August 2021, 3 September 2021, 21 September 2021, 23 September 2021, 9 December 2021 and 18 February 2022 in relation to the acquisition by MCB of the entire equity interest of 10 companies and their respective subsidiaries which are involved in cement and ready-mixed concrete businesses in Malaysia from YTL Cement Berhad for a total consideration of RM5,158 million, subject to adjustments. Unless otherwise stated, all abbreviations used in this announcement shall have the same meanings as defined in the Company’s circular to shareholders dated 6 August 2021.

The Board of MCB wishes to announce that Bursa Securities has, via its letter dated 14 March 2022, resolved to accept the Company’s current level of public shareholding spread (“PSS”) of 21.37% as in compliance with Paragraph 8.02(1) of the Listing Requirements. However, the Company is advised to use its best endeavours to increase the percentage of PSS to 25%.

The Company is required to notify Bursa Securities immediately, if in conjunction with the preparation of the Company’s semi-annual returns and/or where the Company otherwise becomes aware of the following, pursuant to item 2A.1 of Practice Note 19 of the Listing Requirements:-

1. any decrease to the Company’s issued share capital;
2. any decrease in the percentage of PSS below 21.37%; and
3. any decrease of the Company’s average market capitalisation for the preceding 12 months to below RM1 billion at any point in time.
