OPTIMAX-WA - Notice of Book Closure

ADJUSTMENT TO THE EXERCISE PRICE AND NUMBER OF OUTSTANDING WARRANTS 2021/2026 OF OPTIMAX ("WARRANTS") CONSTITUTED BY THE DEED POLL DATED 10 DECEMBER 2021 DUE TO THE BONUS ISSUE OF UP TO 404,999,992 ORDINARY SHARES IN OPTIMAX ("OPTIMAX SHARE(S)" OR "SHARE(S)") ("BONUS SHARES") ON THE BASIS OF 1 BONUS SHARE FOR EVERY 1 OPTIMAX SHARE HELD BY ENTITLED SHAREHOLDERS OF THE COMPANY AT 5:00 PM ON 6 MAY 2022 ("BONUS ISSUE") ("ADJUSTMENTS")
 

Kindly be advised of the following : 

1)  The above Company's securities will be traded and quoted "Ex - Adjustment” as from: 05 May 2022
2)  The last date of lodgment : 06 May 2022
 

Remarks 1:

"Bursa Malaysia Securities Bhd would like to clarify that on the basis of settlement taking place after 6 May 2022 with bonus issue of OPTIMAX-WA shares, any shareholder who is entitled to receive  OPTIMAX-WA bonus issue shares, may sell any or all of his OPTIMAX-WA shares arising from the bonus issue beginning the Ex-Date (5 May 2022).

For example, if Mr X purchases 100  OPTIMAX-WA shares on cum basis on  29 April 2022, Mr X should receive 100 shares on 6 May 2022.  Consequent to a bonus issue, an additional of 100 OPTIMAX-WA shares will be credited into Mr X's CDS account on the night of 6 May 2022 being the Book Closing Date. Therefore, Mr X can sell a total of 200 shares on or after the Ex-Date i.e. from 5 May 2022 onwards.

Remarks 2:

Holders of the Warrants ("Warrant Holders") who wish to be entitled to the Bonus Shares should exercise their Warrants by lodging their duly completed exercise forms together with the relevant subscription monies with Optimaxs share registrar on or before 5.00 p.m. on 20 April 2022 such that their names will appear on the Record of Depositors at 5.00 p.m. on the entitlement date of 6 May 2022 ("Entitlement Date").

Up to 67,499,994 additional Warrants will be allotted and issued pursuant to the Adjustments. The exact number of additional Warrants to be allotted and issued will depend on the number of outstanding Warrants as at the Entitlement Date.

The additional Warrants will be listed and quoted on the ACE Market of Bursa Securities simultaneously with the Bonus Shares on 9 May 2022, being the next market day immediately after the Entitlement Date.

Optimaxs share registrar will issue and despatch the notice to Warrant Holders setting out the details of the Adjustments and notice of allotment for the additional Warrants in due course.
