We refer to the Company’s announcements made on 15 October, 2021, 22 February 2022 and 14 April, 2022 on the Memorandum of Understanding dated 15 October, 2021 (“MOU”) made between the Company and BHealthy Wellness Sdn. Bhd. (“BWSB”) to declare their respective intentions to establish a strategic alliance and collaboration between the Parties to undertake the proposed business venture of management of the wellness industry related businesses via a one-stop information technology control system (“the Proposed Business”).

We also refer to the Company’s announcement made on 3 November, 2021 pertaining to the incorporation of Jadem eHealth Sdn. Bhd. (“Jadem eHealth”) as the 51%-owned subsidiary of the Company (and the remaining 49% is owned by BWSB) with the intended principal activity to carry on the Proposed Business.

The Board of Directors of JMGB now wishes to announce that Jadem eHealth had on 21 April, 2022 entered into a Share Sale Agreement with BWSB, Goh Chee Siang and Chua Kian Leong (collectively referred to as the “Vendor(s)”) to purchase from the Vendor(s), the entire issued and paid-up share capital of I Wellness International Sdn. Bhd. (“I Wellness”) for a purchase consideration of RM7,001,000.00.
