Warrant B holders are advised to read this notice of books closure together with the Company's announcement dated 20 May 2022 in relation to the notice of books closure for the Share Split.
Following the Share Split, the exercise price and number of outstanding Warrants B shall be adjusted in accordance with the provisions of the Deed Poll ("Adjustments").
The outstanding Warrants B will be subdivided on the basis of every 1 Warrant B held by the entitled holders of Warrants B (whose names appear in the Record of Depositors of the Company at 5.00 p.m. on the Entitlement Date) ("Entitled Warrant B Holders") into 3 Warrants B ("Subdivided Warrants"). The actual number of Subdivided Warrants would depend on the number of outstanding Warrants B which are not exercised into new ANB Shares prior to the Entitlement Date.
Fractional entitlement for the Subdivided Warrants, if any, shall be dealt with in such manner as the Board of Directors of ANB in its absolute discretion deems fit and expedient, and in the best interest of the Company.
Further, pursuant to the Adjustments, the exercise price of Warrants B of RM0.84 each will be revised to RM0.28 each.
The Subdivided Warrants will be listed and quoted simultaneously with the Subdivided Shares on the Main Market of Bursa Malaysia Securities Berhad on 7 June 2022 ("Listing Date"), being the next market day immediately after the Entitlement Date.
The notice of allotment for the Subdivided Warrants will be issued and despatched to the Entitled Warrant B Holders at the address set out in the Record of Depositors of the Company within 4 market days after the Listing Date. The notice setting out the details of the Adjustments will be issued and despatched to the Entitled Warrant B Holders in due course.
Holders of the Warrants B who wish to be entitled to the Share Split as the Company's shareholders shall exercise their rights to subscribe for new ANB Shares by lodging their duly completed exercise forms together with relevant subscription monies with ANB's share registrar (at the address stated above) on or before 5.00 p.m. on 25 May 2022 such that their names will appear in the Record of Depositors of the Company at 5.00 p.m. on the Entitlement Date.
