Reference is made to the Company’s announcement dated 6 September 2021 in relation to the Rule 8.03A(2)(b) Relief Announcement of the ACE Market Listing Requirements (“ACELR”) of Bursa Malaysia Securities Berhad (“Bursa Securities”) which reported that the Company’s business or operations had generated revenue on a consolidated basis of 5% or less of the share capital (excluding treasury shares) based on its Fourth Quarterly Report for the financial period ended 30 June 2021. Hence, the Company has triggered the criterion on insignificant business or operations in Rule 8.03A(2)(b) of the ACELR.  However, with the additional relief measures granted by Bursa Securities to listed issuers, the Company was exempted from complying with the other obligations under Rule 8.03A of the ACELR for a period of 12 months.

The Board of Directors of Mtouche wishes to announce that the Company has on 27 August 2021 changed its financial year end from 30 June to 30 September and the Company has re-assessed its condition based on the Company’s financial results from 1 July 2021 to 30 June 2022 (“Financial Results”). Based on the Financial Results, the revenue on a consolidated basis represents 12.93% of the share capital of the Company. In view thereof, the Company has complied with Rule 8.03A(1) of the ACELR as the Company had generated revenue on a consolidated basis that represents more than 5% of the share capital and thus, maintained an adequate level of operations to warrant continued trading or listing on the Official List of Bursa Securities.
