Pursuant to Paragraph 9.23(1) of the Main Market Listing Requirements (“MMLR”) of Bursa Malaysia Securities Berhad (“Bursa Securities”), SDHB is required to issue its annual report that includes annual audited financial statements together with the auditors’ and directors’ reports for the financial year ended 30 June 2022 (“Annual Report 2022”) to Bursa Securities and shareholders within four (4) months from the close of the financial year of SDHB which falls on 31 October 2022 (“Relevant Timeframe”).
The Board of Directors ("Board") of SDHB wishes to announce that the Company is unable to release within the Relevant Timeframe. The delay in the issuance of the Annual Report 2022 is due to delay in completion of audit by the External Auditors for the financial statements for the financial year ended 30 June 2022 caused by the following:
a) Lack of personnel arising from the resignation of a significant number of staff across the organisation.
b) Loss of critical personnel especially the resignation of the Chief Financial Officer and the Financial Controller in September 2022.
c) Appointment of the Interim Liquidator ("IL") whereby the Company's Finance team has to adapt to new work processes in facilitating the IL and his team in carrying out their duties in managing the Company's financial and operational affairs amongst others.
d) Delay in finalising the responsibility of the Audit Fees and other incidental obligations whereby the Board is currently looking into the matter together with the IL
The above had resulted in the delay in finalising the group consolidated figures for audit that had directly caused delay in the finalisation of audit by the External Auditors. The Management is actively discussing and resolving the matters with the External Auditors to complete the Annual Report 2022 within the timeframe of not later than 31 January 2023.
The Company had applied for an extension of time up to 31 January 2023 to issue the Annual Report 2022 to comply with Paragraph 9.23(1) of MMLR of Bursa Securities which the outcome of the application is currently pending from Bursa Securities.
