The Board of Directors of Eduspec Holdings Berhad (“EHB” or “Company” or “Vendor”) wishes to announce that EHB had on 29 November 2022 entered into an agreement (“Agreement”) with Integrated Fyntech Sdn Bhd (“Integrated Fyntech” or “Purchaser”) to dispose the following ordinary shares representing 100% each of the total issued and paid-up share capital of Eduspec HK Limited (“Eduspec HK”), Cloud Direct Sdn Bhd (“Cloud Direct”) and Eduspec Pte Ltd (“EPL”) (collectively the “Companies”) (“Sale Shares”) for a total sum of Ringgit Malaysia Five Hundred Thousand (RM500,000) Only (“Sale Price”) (collectively the “Proposed Disposal”) :
1. Eduspec HK Limited - 50,000 shares 2. Cloud Direct Sdn Bhd - 434,782 shares 3. Eduspec Pte Ltd - 50,000 shares
Upon completion of the Proposed Disposal, the Companies shall cease to be wholly-owned subsidiaries of EHB.
