OSK-WC - Notice of Book Closure

Adjustment to the exercise price and number of outstanding warrants 2015/ 2020 in the Company constituted by the deed poll dated 7 July 2015 ("Deed Poll") ("Warrant(s) C") pursuant to the bonus issue of up to 820,311,770 new ordinary shares each in OSK Holdings Berhad ("OSK") ("OSK Share(s)") ("Bonus Share(s)") on the basis of one (1) Bonus Share for every two (2) existing OSK Shares held as at 5.00 p.m. on 29 November 2017 ("Entitlement Date").

Kindly be advised of the following: 

1)  The above Company's securities will be traded and quoted "Ex - Adjustment” as from: 27 Nov 2017
2)   The last date of lodgement: 29 Nov 2017 

Remarks 1: "Bursa Malaysia Securities Bhd would like to clarify that on the basis of settlement taking place after 29 November 2017 with adjustment to the number of outstanding OSK-WC shares, any shareholder who is entitled to receive OSK-WC additional shares may now sell any or all of his OSK-WC shares arising from adjustment pursuant to the bonus issue beginning the Ex-Date (27 November 2017).  

For example, if Mr X purchases 200 OSK-WC shares on cum basis on 24 November 2017, Mr X should receive 200 shares on 29 November 2017. Pursuant to Bonus share, a total of 300 OSK-WC shares will be credited into Mr X's CDS account on the night of 29 November 2017 being the Book Closing Date. Therefore, Mr X can sell the OSK-WC shares of 300 on or after the Ex-Date i.e. from 27 November 2017 onwards." 

Remarks 2:- The exercise price and the number of outstanding Warrants C will be adjusted in accordance with the provisions of the Deed Poll, as a consequence of the Bonus Issue, and that the said adjustments will take effect from 30 November 2017, being the next market day immediately after the Entitlement Date. The Additional Warrants arising from the adjustment consequential to the Bonus Issue will be allotted and issued to the entitled Warrant C holders of the Company whose names appear in the Record of Depositors at 5.00 p.m. on the Entitlement Date. The final number of Additional Warrants to be issued and allotted will depend on the number of outstanding Warrants C which have yet to be exercised as at the Entitlement Date. The Additional Warrants will be listed and quoted on the Main Market of Bursa Malaysia Securities Berhad simultaneously with the Bonus Shares on 30 November 2017, being the next market day immediately after the Entitlement Date. The notice to Warrant C holders setting out the details of the adjustments and the notice of allotment of the Additional Warrants will be despatched in due course. Warrants holders who wish to be entitled to the Bonus Issue should exercise their Warrants C by lodging their duly completed exercise forms together with the relevant subscription monies with the Company's Share Registrar on or before 5.00 p.m. on Friday, 17 November 2017 such that their names will appear on the Record of Depositors at 5.00 p.m. on the Entitlement Date.
