ATTA-WB - Notice of Book Closure

Adjustment to the exercise price and number of outstanding warrants 2012/2022 in ATTA Global Group Berhad ("ATTA or Company") ("Warrant B") in accordance with the provisions of the deed poll dated 28 March 2012 and the supplemental deed poll dated 20 October 2017 ("Deed Poll B") pursuant to the renounceable rights issue of up to 2,515,037,240 new irredeemable convertible preference shares ("ICPS") at an issue price of RM0.08 per ICPS on the basis of eight (8) ICPS for every one (1) existing ordinary share in ATTA held at 5.00 p.m. on 6 November 2017 based on a minimum subscription level of 150,000,000 ICPS ("Adjustment").

Kindly be advised of the following : 

1)  The above Company's securities will be traded and quoted "Ex - Adjustment” as from: 2 Nov 2017
2)  The last date of lodgment : 6 Nov 2017

Remarks: The Notice of Book Closure in relation to the Rights Issue of ICPS had been announced by the Company separately today. Holders of outstanding Warrants B ("Warrant B Holders") who wish to be entitled to the ICPS should exercise their Warrants B to ordinary shares in ATTA ("ATTA Shares"). Pursuant to the Main Market Listing Requirements of Bursa Malaysia Securities Berhad ("Bursa Securities"), the Company must issue and/or allot the securities arising from the conversion or exercise of the convertible security within eight (8) market days after the date of receipt of a subscription form together with the requisite payment or such other period as may be prescribed or allowed by Bursa Securities. Pursuant thereto, the Warrant B Holders should lodge their duly completed exercise forms together with the relevant exercise monies with the Share Registrar, Symphony Share Registrars Sdn Bhd, on or before 5.00 p.m. on 25 October 2017 (at the existing exercise price of RM1.00 prior to the Adjustment). This is to enable the new ATTA Shares arising from such exercise of the Warrants B to be allotted to the respective Warrant B Holders such that their names will appear on the Record of Depositors of Warrant B Holders by 5.00 p.m. on 6 November 2017. The Warrant B Holders whose names appear in the Record of Depositors of Warrant B Holders as at 5.00 p.m. on 6 November 2017 ("Entitlement Date") ("Entitled Warrant B Holders") shall accordingly be entitled to the Adjustment. The exercise price of Warrant B shall be adjusted from RM1.00 to RM0.87. The Adjustment shall take effect on Tuesday, 7 November 2017, being the next market day following the Entitlement Date. The final number of additional Warrants B to be issued and allotted will depend on the number of outstanding Warrants B which have yet to be exercised as at the Entitlement Date and shall be listed and quoted simultaneously with the ICPS on 6 December 2017. The notice setting out the Adjustment will be despatched to the Entitled Warrant B Holders in due course.
