The Board of Directors of SEGi is pleased to announce the following:- i. SESB had on 28 December 2022 entered into a conditional share sale agreement with Global Activate Sdn Bhd for the proposed acquisition of 1,000,000 Peninsula Education Sdn Bhd ("PESB") shares, representing 100% of the equity interest in PESB for a purchase consideration of RM500,000 ("PESB Purchase Consideration") to be satisfied entirely via cash; and ii. SESB had on 28 December 2022 entered into a conditional share sale agreement with HCK Education Sdn Bhd for the proposed acquisition of 5,087,853 Imperial Education (Ipoh) Sdn Bhd ("IEISB") shares, representing 100% of the equity interest in IEISB for a purchase consideration of RM200,000 ("IEISB Purchase Consideration") to be satisfied entirely via cash. The Proposed Acquisitions are deemed to be a related party transaction pursuant to Paragraph 10.08 of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad.
