KPJ-WB - Notice of Book Closure

Adjustments to the exercise price and number of outstanding Warrants 2014/2019 issued by KPJ Healthcare Berhad ("KPJ") ("Warrants") constituted by the deed poll dated 11 December 2013 which governs the terms and conditions of the Warrants pursuant to the subdivision of every 1 ordinary share in KPJ into 4 ordinary shares in KPJ held as at 5.00 p.m. on 26 September 2017 ("Entitlement Date") ("Subdivision") ("Adjustments").

Kindly be advised of the following : 

1)  The above Company's securities will be traded and quoted "Ex - Adjustment” as from: 21 Sep 2017
2)  The last date of lodgment : 26 Sep 2017 

Remarks 1: "Bursa Malaysia Securities Bhd would like to clarify that on the basis of settlement taking place after of 26 September 2017 with adjustment to the number of outstanding KPJ -WB shares, any shareholder who is entitled to receive KPJ -WB additional shares may now sell any or all of his KPJ -WB shares arising from adjustment pursuant to the bonus issue beginning the Ex-Date (21 September 2017). 

For example, if Mr X purchases 100 KPJ -WB shares on cum basis on of 20 September 2017, Mr X should receive 100 shares on of 26 September 2017. Pursuant to a bonus issue, a total of 400 KPJ -WB shares will be credited into Mr X's CDS account on the night of 26 September 2017 being the Book Closing Date. Therefore, Mr X can sell the KPJ -WB shares of 400 on or after the Ex-Date i.e. from 21 September 2017 onwards." 

Remarks 2: The terms used herein shall, unless the context otherwise states, bear the same meaning as those defined in the circular to shareholders dated 2 August 2017 in relation to the Subdivision. The notices of book closure date in relation to the Subdivision have been announced separately today. Holders of the Warrants ("Warrantholders") who wish to be entitled to the Subdivision should exercise their Warrants by lodging their duly completed exercise forms together with the relevant subscription monies with KPJ's share registrar on or before 5.00 p.m. on 13 September 2017 such that their names will appear on the Record of Depositors at 5.00 p.m. on the Entitlement Date. Up to 259,725,882 additional Warrants will be issued and allotted pursuant to the Adjustments. The exact number of additional Warrants to be issued and allotted will depend on the number of outstanding Warrants as at the Entitlement Date. The additional Warrants will be listed and quoted on the Main Market of Bursa Securities simultaneously with the Subdivided Shares on 27 September 2017, being the next market day immediately after the Entitlement Date. KPJ's share registrar will issue and despatch the notice to Warrantholders setting out the details of the Adjustments and notice of allotment for the additional Warrants in due course.
