MTOUCHE-WB - Notice of Book Closure

ADJUSTMENTS TO THE EXERCISE PRICE AND NUMBER OF OUTSTANDING WARRANTS 2010/2020 ("WARRANTS B") AS SPECIFIED IN THE DEED POLL DATED 25 JANUARY 2010 ("DEED POLL B") AS A CONSEQUENCE OF THE RENOUNCEABLE RIGHTS ISSUE OF UP TO 557,500,566 NEW ORDINARY SHARES IN MTOUCHE TECHNOLOGY BERHAD ("MTOUCHE" OR THE "COMPANY") ("MTOUCHE SHARES") ("RIGHTS SHARES") AT AN ISSUE PRICE OF RM0.20 PER RIGHTS SHARE TOGETHER WITH UP TO 278,750,283 FREE DETACHABLE WARRANTS IN MTOUCHE ("WARRANTS C") ON THE BASIS OF SIX (6) RIGHTS SHARES TOGETHER WITH THREE (3) FREE WARRANTS C FOR EVERY TWO (2) EXISTING MTOUCHE SHARES HELD BY THE ENTITLED SHAREHOLDERS OF MTOUCHE AT 5.00 P.M. ON 3 OCTOBER 2017 ("ENTITLED SHAREHOLDERS") ("RIGHTS ISSUE WITH WARRANTS") ("ADJUSTMENTS") (Remain Unchanged).   

Further to Reference No. ILC-06092017-00014, kindly be advised of the following : 

1)  The above Company's securities will be traded and quoted "Ex - Adjustment” as from: 29 Sep 2017 (Instead of 12 Sep 2017)
2)  The last date of lodgment : 3 Oct 2017(Instead of 14 Sep 2017)

Remarks: Reference is made to the Companys amended Notice of Book Closure in relation to the Rights Issue with Warrants, which has been announced separately today. Holders of outstanding Warrants B ("Warrant B Holders") who wish to be entitled to the Rights Shares with Warrants should exercise their rights to subscribe for new mTouche Shares by lodging their duly completed exercise forms together with the relevant subscription monies with the Share Registrar, ShareWorks Sdn Bhd, on or before 5.00 p.m. on 26 September 2017. This is to enable the new mTouche Shares arising from such exercise to be allotted to the respective Warrant B Holders such that their names will appear on the Record of Depositors of mTouche by 5.00 p.m. on 3 October 2017. Warrant B Holders who have not exercised their Warrants B by 5.00 p.m. on 26 September 2017 and whose names appear in the Record of Depositors for Warrants B as at 5.00 p.m. on 3 October 2017 would be entitled to the Adjustments. The notice of allotment for the additional Warrants B arising from the Adjustments will be despatched to the Warrant B Holders by 6 November 2017. The notice to Warrant B Holders (setting out details of the Adjustments) will be despatched in due course.
