On behalf of the Board of Directors of Matang ("Board"), UOB Kay Hian Securities (M) Sdn Bhd ("UOBKH") wishes to announce the following:-

i. Matang ("Purchaser") had on 10 February 2023 entered into a conditional sale and purchase agreement ("SPA") with Star Media Group Berhad ("Star Media" or "Proprietor") and SMG Land Sdn Bhd ("SMG Land" or the "Vendor"), a wholly-owned subsidiary of Star Media to acquire two (2) units of double storey semi-detached factory and warehouse annexed with a one-and-a-half (1½) storey office building and other ancillary buildings to be erected on part of the land held under Geran 204624, Lot 78658, Mukim Damansara, Daerah Petaling, Negeri Selangor ("Property") for a total purchase consideration of RM33,000,000 ("Purchase Consideration") to be satisfied via the allotment and issuance of 357,000,000 new ordinary shares in Matang ("Matang Shares" or "Shares") ("Consideration Shares") to SMG Production & Distribution Sdn Bhd ("Allottee"), a wholly-owned subsidiary of the Vendor at an issue price of RM0.0809 each ("Issue Price") and cash payment amounting to RM4,118,700 ("Balance Payment") ("Proposed Acquisition"); and

ii. proposed diversification of the existing principal activities of Matang and its subsidiaries ("Matang Group" or the "Group") to include property investment ("Proposed Diversification").

The Proposed Acquisition is deemed as a related party transaction ("RPT") under Rule 10.08 of the ACE Market Listing Requirements of Bursa Malaysia Securities Berhad ("Bursa Securities") ("Listing Requirements") by virtue of the interests of the Interested Parties (as defined in the announcement below), further details as set out in Section 10 of the announcement.
