We refer to Bursa Malaysia Securities Berhad's letter dated 4 August 2006 and wish to announce the status of progress of the Ventures of SunCon Group, details as set out in Table 1 below.

Sunway Concrete Products (S) Pte Ltd, an indirect wholly-owned subsidiary of SunCon, has on 30 January 2018 entered into a Joint Venture Agreement (“JV Agreement”) with HL Building Materials Pte Ltd, a subsidiary of Hong Leong Asia Ltd. Under the JV Agreement, a joint venture company has been established to tender for the lease of land in Singapore from the Building and Construction Authority ("BCA").

The joint venture company, HL-Sunway JV Pte Ltd has, on 27 July 2018, won the bid for the lease of land for the development of the Integrated Construction Fabrication Hub (“Plant”) from BCA.
We have awarded the construction work of the Plant in November 2019.
The Plant has been granted Temporary Occupation Permit on 18 November 2022 and the Plant has commenced operations in January 2023 upon completion of final testing and commissioning in December 2022.

Sunway Builders (Myanmar) Co Ltd (“Myanmar Subsidiary”), an indirect wholly-owned subsidiary of SunCon, had on 1 April 2019 entered into a Memorandum of Understanding ("MOU") with Capital Construction Limited to cooperate, collaborate and share expertise on infrastructure and construction projects in Myanmar.

Due to the recent military coup in Myanmar, we have decided to defer activities in this Country.
The Myanmar Subsidiary has on 30 March 2022, commenced the members’ voluntary winding-up (“Voluntary Winding-Up”) pursuant to Section 345 of the Myanmar Companies Law and the Myanmar Insolvency Law.
The Myanmar Subsidiary has on 16 January 2023 conducted its final general meeting to conclude the Voluntary Winding-Up. Subsequently, the statement of account (Statement of Affairs) of the Myanmar Subsidiary was lodged with the Directorate of Investment and Company Administration on 19 January 2023 (“Lodgement Date”) and at the expiration of three months after the Lodgement Date, the Myanmar Subsidiary will be dissolved.

Sunway Construction Sdn Bhd (“SCSB”), a wholly-owned subsidiary of SunCon had on 9 June 2020 entered into a MOU with ENGIE South East Asia Pte Ltd to record the parties’ intention to collaborate via a joint venture company to undertake, as a project owner and developer, engineering, financing, construction, operations and maintenance of district cooling system (“DCS”) (brown field or green field) in Malaysia.

Sunway SK Sdn Bhd, a wholly-owned subsidiary of SCSB, has on 14 July 2022, entered into a Joint Venture and Shareholders’ Agreement with ECM Cooling Sdn Bhd (“ENGIE”) for the purpose of incorporating a joint venture company with ENGIE, namely ENGIE-SUNWAY DCS SDN BHD (“ENGIE-SUNWAY”) to undertake, as project owner and developer, the engineering, financing, construction operations and maintenance of DCS for a project in Sunway City.
ENGIE-SUNWAY has been incorporated and has on 20 July 2022 entered into a Build, Own, Operate and Transfer Agreement with Sunway South Quay Sdn Bhd (“SSQ”) whereby SSQ will appoint ENGIE-SUNWAY to build, own, operate and maintain a DCS and to supply cooling energy to SSQ’s development known as Sunway South Quay Commercial Precinct 2 for a period of 25 years and at the end of the 25 years, ENGIE-SUNWAY will transfer the DCS to SSQ.
Construction work has commenced in December 2022.

Letter of Intent issued by GBS Suria Sdn Bhd (“GBS Suria”), a wholly-owned subsidiary of Gopeng Berhad, for the Design, Engineering, Procurement, Construction, Testing and Commissioning of Solar Photovoltaic Energy Generating Facility with Ancillary Equipment and Facilities (“EPCC Works”) with Generating Capacity of 50MW located at Lot 45547 GRN:124174 Mukim Teja, Daerah Kampar, Perak Darul Ridzuan, for a total contract sum of RM200,000,000 only.

SCSB has on 17 January 2023 accepted the Letter of Award issued by GBS Suria in respect of the contract for the EPCC Works for a total contract sum of RM218,756,675.00 only.
The EPCC Works had commenced immediately on 17 January 2023.

Letter of Intent issued by Sharp Ventures Solar Sdn Bhd (“SVS”) to SCSB for the EPCC Works with Generating Capacity of 50MW located at part of the land known as GRN 47151, Lot 5495, Mukim Kapar, Daerah Klang, Selangor Darul Ehsan.

SCSB has on 1 November 2022 accepted the Letter of Award issued by SVS in respect of the contract for the EPCC Works for a total contract sum of RM185,008,051.00 only.
Work has commenced since December 2022.

Sunway-PECC2 Consortium, an unincorporated consortium comprising SCSB and Power Engineering Consulting Joint Stock Company 2 had on 28 December 2022 entered into an Interim Engineering, Procurement and Construction Agreement with Toyo Ink Group Berhad and Song Hau 2 Power Company Ltd, which served as a framework for negotiations and discussions to establish the detailed terms and conditions for the contractor’s performance of carrying out and completing all works of design, engineering, procurement, manufacture, supply, construction, erection, testing and commissioning of a coal-fired electric generation plant with a capacity of 2,100 MW (1,060 MW X 2) for Song Hau Power 2 Thermal Power Plant project located at Song Hau Power Generation Centre, Hau Giang Province, Vietnam.

SCSB had on 31 December 2022 entered into a Contract in respect of General Contractor Services for Project JHB1X0 with Yellowwood Properties Sdn Bhd (“Yellowwood”) to carry out the works for a data centre located in Sedenak Tech Park (STeP) in Johor, Malaysia for a contract amount of approximately RM1.7 billion.

The works under the Notice to Proceed (“NTP”) 1 has been commenced on 31 December 2022.
In the event Yellowwood requires SCSB to carry out the works for NTP 2 and NTP 3, Yellowwood shall issue NTP 2 to SCSB to commence the works for NTP 2 on or before 1 March 2023 and for NTP 3 on or before 5 May 2023.
